Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Xbio.to ("Xbio", "Company", "we", "our", or "us") governing your access to and use of the Services.

Please read these Terms carefully before using the Services.

By accessing, browsing, registering for, purchasing, or otherwise using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated by reference.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

1. Scope

These Terms govern your access to and use of all products, software, websites, applications, APIs, domains, mobile applications, integrations, digital tools, content, communications, and related services made available by Xbio, whether now existing or introduced in the future (collectively, the "Services").

The Services currently include, without limitation:

  • Bio Page creation and management;
  • URL shortening services;
  • QR Code generation and management;
  • analytics;
  • custom domains;
  • subscription services;
  • user accounts;
  • and related features.

These Terms also apply to future Services unless separate terms expressly govern a particular product.

2. Acceptance of Terms

By using the Services, you represent and warrant that:

  • you have the legal capacity to enter into binding agreements;
  • you are authorized to use the Services;
  • all information you provide is accurate;
  • you will comply with these Terms;
  • you will comply with applicable laws.

If you use the Services on behalf of an organization, company, government entity, educational institution, or other legal person, you represent that you have authority to bind that entity to these Terms.

In such cases, references to "you" include both the individual user and the represented organization.

3. Eligibility

Unless otherwise permitted by applicable law, you must be at least the minimum legal age required in your jurisdiction to independently enter into binding contracts.

If you do not meet these requirements, the Services may only be used with the authorization of a parent, legal guardian, or other legally authorized representative where permitted by applicable law.

Xbio reserves the right to request reasonable verification of eligibility where necessary.

4. Definitions

Unless the context requires otherwise, the following terms have the meanings set forth below.

Account

A registered profile used to access the Services.

Bio Page

A webpage created through the Services containing user-selected content, links, media, contact information, branding, embedded resources, or other information.

Short Link

Any shortened URL generated through the Services.

QR Code

Any QR Code generated through the Services.

Content

Any information created, uploaded, submitted, imported, stored, displayed, transmitted, generated, synchronized, published, linked, embedded, or otherwise processed through the Services.

Content includes, without limitation:

  • text;
  • URLs;
  • QR Codes;
  • images;
  • videos;
  • files;
  • logos;
  • profile information;
  • metadata;
  • analytics;
  • branding assets;
  • custom domains;
  • comments;
  • messages;
  • and other digital materials.

User Content

Content provided by users.

Public Content

Content intentionally made publicly accessible.

Subscription

Any paid plan, recurring plan, promotional plan, enterprise agreement, or other commercial arrangement providing access to premium features.

Services

All current and future products operated by Xbio.

Abuse

Any activity that violates these Terms, applicable law, platform integrity, user safety, security requirements, or the intended operation of the Services.

5. Changes to the Services

The Services are continuously evolving.

Accordingly, Xbio reserves the right, at any time and without creating any ongoing obligation, to:

  • add new Services;
  • discontinue existing Services;
  • introduce new features;
  • remove existing features;
  • redesign the user interface;
  • modify workflows;
  • change technical implementations;
  • improve infrastructure;
  • update security measures;
  • replace technologies;
  • introduce beta functionality;
  • consolidate products;
  • separate products;
  • rename Services;
  • modify APIs;
  • modify integrations;
  • modify subscription plans;
  • modify usage limits;
  • modify storage allocations;
  • modify performance characteristics;
  • modify eligibility requirements;
  • or otherwise evolve the Services.

Such changes may occur with or without prior notice unless notice is required by applicable law.

Nothing in these Terms shall be interpreted as creating an obligation for Xbio to continue offering any particular feature, functionality, integration, API, subscription tier, pricing model, storage allocation, or Service for any minimum period.

6. Availability of the Services

While Xbio strives to provide reliable Services, we do not guarantee that the Services will always be:

  • uninterrupted;
  • error-free;
  • continuously available;
  • compatible with every device;
  • compatible with every browser;
  • free from delays;
  • free from interruptions;
  • free from maintenance;
  • or free from technical limitations.

The Services may become temporarily unavailable due to:

  • scheduled maintenance;
  • emergency maintenance;
  • infrastructure failures;
  • internet outages;
  • third-party service interruptions;
  • software updates;
  • security incidents;
  • denial-of-service attacks;
  • hardware failures;
  • force majeure events;
  • or other operational circumstances.

No uptime guarantee is provided unless expressly stated in a separate written agreement.

7. Future Services

The Services may expand over time.

Future products, applications, APIs, enterprise features, artificial intelligence capabilities, browser extensions, integrations, mobile applications, collaboration tools, organization management features, developer tools, marketplace functionality, and additional products may become subject to these Terms unless separate terms are expressly published.

Your continued use of newly introduced Services constitutes acceptance of their inclusion within the scope of these Terms unless otherwise specified.

8. Platform Evolution

You acknowledge that Xbio operates a continuously developing software platform.

Accordingly, Xbio may, from time to time:

  • improve functionality;
  • redesign workflows;
  • modify technical architecture;
  • migrate infrastructure;
  • replace technologies;
  • optimize databases;
  • modify APIs;
  • update algorithms;
  • improve analytics;
  • expand security systems;
  • introduce automation;
  • implement artificial intelligence tools;
  • deploy experimental functionality;
  • revise subscription structures;
  • modify plan limitations;
  • revise pricing models;
  • or otherwise evolve the Services.

Such evolution is considered a normal part of operating a modern software platform and does not, by itself, constitute a breach of these Terms.

9. Relationship with Other Policies

These Terms should be read together with:

  • Privacy Policy;
  • Cookie Policy;
  • Refund Policy;
  • Acceptable Use Policy;
  • Copyright Policy;
  • any API terms;
  • Enterprise Agreements;
  • and any additional legal notices published by Xbio.

Where another document expressly supplements these Terms, both documents shall apply together.

10. User Accounts

Access to certain features of the Services requires the creation of an Account.

When creating an Account, you agree to provide accurate, complete, and current information and to promptly update such information if it changes.

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities occurring under your Account unless otherwise required by applicable law.

You agree to immediately notify Xbio if you become aware of:

  • unauthorized access;
  • suspected compromise;
  • stolen credentials;
  • unauthorized use;
  • suspicious activity;
  • or any other security incident involving your Account.

Xbio is not responsible for losses resulting from your failure to safeguard your Account credentials.

11. Account Security

Users are responsible for implementing reasonable security measures appropriate to their use of the Services.

Such measures may include:

  • strong passwords;
  • multi-factor authentication where available;
  • secure devices;
  • updated software;
  • secure internet connections;
  • and appropriate access management.

Xbio may introduce additional security requirements where reasonably necessary to protect the Services.

12. Account Verification

To protect users and maintain the integrity of the Services, Xbio reserves the right to request verification of identity, ownership, payment information, domain ownership, email ownership, business information, or other information reasonably necessary to verify an Account.

Verification requests may occur:

  • during registration;
  • before subscription activation;
  • after suspicious activity;
  • during fraud investigations;
  • following abuse reports;
  • before restoring Account access;
  • before transferring ownership;
  • or where otherwise reasonably necessary.

Failure to complete verification may result in restricted functionality, delayed access, temporary suspension, or termination where permitted by applicable law.

13. Account Ownership

The individual or legal entity identified by Xbio as the registered account holder shall generally be considered the owner of the Account.

In determining ownership, Xbio may consider factors including:

  • verified email ownership;
  • payment history;
  • subscription ownership;
  • account creation history;
  • domain ownership;
  • historical usage;
  • authentication records;
  • and other information reasonably available.

Xbio reserves the right to make reasonable determinations regarding disputed ownership.

14. Inactive Accounts

To maintain the efficiency, security, and integrity of the Services, Xbio may establish policies governing inactive Accounts.

Where permitted by applicable law, inactive Accounts may become subject to:

  • archival;
  • storage limitations;
  • feature restrictions;
  • username recycling (except where prohibited or reserved);
  • deletion following appropriate notice where required;
  • or other operational measures.

Paid subscriptions shall not be affected solely due to inactivity unless otherwise specified.

15. Subscription Plans

Certain Services are available through paid Subscription plans.

Subscription plans may differ in:

  • available features;
  • storage capacity;
  • number of Bio Pages;
  • number of Short Links;
  • number of QR Codes;
  • analytics;
  • custom domains;
  • API access;
  • bandwidth;
  • usage limits;
  • support levels;
  • retention periods;
  • and other characteristics.

Descriptions of Subscription plans are provided for convenience and may be updated from time to time.

16. Fair Usage

To ensure reliable operation of the Services for all users, Xbio may apply reasonable Fair Usage standards.

Activities that may be considered inconsistent with Fair Usage include, without limitation:

  • excessive automated requests;
  • abnormal traffic generation;
  • resource exhaustion;
  • abuse of unlimited features;
  • attempts to circumvent usage limits;
  • excessive storage consumption;
  • excessive bandwidth consumption;
  • repeated creation of disposable Accounts;
  • unauthorized automation;
  • infrastructure abuse;
  • or other conduct that materially affects platform stability.

Determinations regarding Fair Usage are made by Xbio acting reasonably and in good faith based on technical, operational, and security considerations.

17. Usage Limits

The Services may include technical, operational, commercial, or security-related usage limitations.

Such limitations may relate to:

  • storage;
  • bandwidth;
  • QR Codes;
  • Bio Pages;
  • API requests;
  • custom domains;
  • analytics;
  • click tracking;
  • redirects;
  • uploads;
  • integrations;
  • team members;
  • organizations;
  • feature availability;
  • or other resources.

Unless expressly guaranteed in a separate written agreement, Xbio reserves the right to introduce, modify, increase, reduce, or remove usage limits at any time for legitimate operational, commercial, technical, or security reasons.

Where material changes affect paid Subscription benefits, Xbio will provide notice where required by applicable law.

18. Pricing

Subscription prices may change from time to time.

Price changes may occur due to:

  • market conditions;
  • infrastructure costs;
  • operational expenses;
  • regulatory changes;
  • taxes;
  • currency fluctuations;
  • product enhancements;
  • new functionality;
  • or other legitimate business reasons.

Unless otherwise stated, pricing changes apply prospectively and shall not affect Subscription periods already paid for.

19. Billing

Paid Services are billed using the payment method selected by the user or otherwise agreed between the parties.

Users authorize Xbio and its authorized payment service providers to process payments associated with:

  • subscriptions;
  • renewals;
  • upgrades;
  • add-on services;
  • taxes;
  • fees;
  • adjustments;
  • and other applicable charges.

Users remain responsible for ensuring that payment information remains current and valid.

20. Automatic Renewal

Unless otherwise indicated at the time of purchase, recurring Subscriptions automatically renew at the end of each billing cycle.

Users may cancel automatic renewal before the next renewal date through the available account settings or other designated methods.

Cancellation prevents future renewals but does not automatically entitle the user to a refund for the current billing period unless required by applicable law or the applicable Refund Policy.

21. Refunds

Refund eligibility is governed by the applicable Refund Policy.

Where no separate Refund Policy applies, refunds may be granted solely at Xbio's discretion unless otherwise required by applicable law.

Nothing in these Terms limits any mandatory consumer rights that cannot lawfully be excluded.

22. Failed Payments

If payment cannot be successfully processed, Xbio may, without creating any obligation to do so:

  • retry payment;
  • suspend premium functionality;
  • downgrade the Subscription;
  • restrict certain Services;
  • terminate access following reasonable notice where appropriate;
  • recover outstanding amounts using lawful means;
  • or take other reasonable operational measures.

23. Chargebacks and Payment Disputes

If a payment is disputed, reversed, charged back, or otherwise successfully challenged through a financial institution or payment provider, Xbio reserves the right, to the extent permitted by applicable law, to:

  • suspend the relevant Account;
  • revoke premium access;
  • recover outstanding fees;
  • restrict future purchases;
  • investigate suspected fraud;
  • require alternative payment methods;
  • or take other reasonable actions necessary to protect the Services and its users.

Nothing in this section limits any statutory rights available to consumers under applicable law.

24. Acceptable Use

You agree to use the Services only in accordance with these Terms, our Acceptable Use Policy (where applicable), and all applicable laws and regulations.

You are solely responsible for your use of the Services and for all Content created, uploaded, published, shared, or otherwise made available through your Account.

The Services must not be used in any manner that interferes with their security, stability, availability, integrity, or intended operation.

25. User Responsibilities

You are responsible for ensuring that your use of the Services:

  • complies with applicable law;
  • respects the rights of others;
  • does not infringe intellectual property rights;
  • does not violate privacy rights;
  • does not compromise the security of the Services;
  • does not facilitate unlawful conduct;
  • and does not interfere with other users' ability to use the Services.

You remain solely responsible for all activities conducted through your Account, whether performed by you or by a person using your credentials with or without your authorization, except where applicable law provides otherwise.

26. Prohibited Activities

You may not use the Services to engage in, facilitate, promote, or distribute activities including, but not limited to:

  • phishing;
  • impersonation or identity theft;
  • fraud or deceptive practices;
  • malware, ransomware, spyware, viruses, or other malicious software;
  • credential harvesting;
  • unauthorized access to computer systems;
  • distribution of illegal software;
  • spam or unsolicited bulk communications;
  • misleading redirects;
  • cloaking intended to deceive users or search engines;
  • click fraud;
  • fake traffic generation;
  • creation of fake engagement metrics;
  • unlawful gambling where prohibited by law;
  • unlawful sale or promotion of controlled substances;
  • unlawful sale or promotion of weapons;
  • promotion of terrorism or violent extremist organizations;
  • child sexual abuse material or exploitation;
  • content that unlawfully infringes copyright, trademark, patent, or other intellectual property rights;
  • content that unlawfully discloses confidential information;
  • operation of botnets or command-and-control infrastructure;
  • denial-of-service attacks or attempts to disrupt networks;
  • unauthorized data scraping in violation of applicable law or contractual restrictions;
  • attempts to circumvent security measures;
  • attempts to interfere with platform integrity;
  • abuse of trial programs or promotional offers;
  • creation of multiple Accounts for fraudulent purposes;
  • unauthorized resale of the Services;
  • use of the Services in a manner that materially degrades platform performance;
  • or any other activity prohibited by applicable law.

This list is illustrative and not exhaustive.

27. User Content

You retain ownership of the intellectual property rights in the Content that you create or lawfully control.

However, by submitting, uploading, publishing, synchronizing, importing, embedding, storing, or otherwise making Content available through the Services, you grant Xbio a worldwide, non-exclusive, royalty-free, transferable (only as necessary to operate the Services), and sublicensable (only to service providers acting on our behalf) license to host, store, reproduce, process, transmit, cache, back up, index, format, optimize, display, and otherwise use such Content solely to the extent reasonably necessary to operate, secure, maintain, improve, and provide the Services.

This license terminates when the applicable Content is permanently removed from the Services, except to the extent that retention is required for backup systems, legal obligations, security investigations, dispute resolution, or other purposes permitted by applicable law.

28. Public Content

Certain features of the Services are intended to make Content publicly accessible.

Public Content may include:

  • Bio Pages designated as public;
  • publicly accessible Short Links;
  • publicly accessible QR Codes;
  • profile information intentionally made public;
  • usernames intended for public display;
  • and other Content intentionally designated by the user as publicly available.

You acknowledge that Public Content may be:

  • indexed by search engines;
  • cached by third parties;
  • archived by internet services;
  • shared by other users;
  • copied;
  • linked to;
  • or otherwise redistributed beyond the control of Xbio.

Xbio is not responsible for the actions of third parties relating to Public Content.

29. Content Moderation

Xbio is not obligated to actively monitor all user-generated Content.

However, to protect users, the Services, and applicable legal interests, Xbio may, where reasonably necessary:

  • review Content;
  • investigate reports;
  • evaluate potential policy violations;
  • restrict visibility;
  • disable access;
  • remove Content;
  • suspend features;
  • request additional information;
  • preserve evidence;
  • or otherwise take reasonable action.

The existence of moderation tools does not create an obligation for Xbio to detect, review, prevent, or remove all prohibited Content.

30. Reserved Rights

To protect the security, integrity, availability, reputation, and lawful operation of the Services, Xbio reserves the right, where reasonably necessary and to the extent permitted by applicable law, to:

  • suspend or terminate Accounts;
  • disable or remove Content;
  • disable Short Links or QR Codes;
  • refuse publication of Content;
  • restrict functionality;
  • impose technical limitations;
  • require identity verification;
  • request additional documentation;
  • investigate suspected misuse;
  • preserve logs and evidence;
  • cooperate with competent authorities where legally required;
  • prevent fraud;
  • respond to security incidents;
  • recover infrastructure resources;
  • protect intellectual property;
  • prevent abuse;
  • and take other reasonable measures necessary to protect the Services.

Any action taken under this section shall be proportionate to the circumstances, where reasonably practicable.

31. Emergency Measures

Where Xbio reasonably believes that immediate action is necessary to prevent:

  • significant harm to users;
  • unlawful activity;
  • security incidents;
  • fraud;
  • technical disruption;
  • infrastructure abuse;
  • or material risk to the Services,

Xbio may implement temporary emergency measures before completing a full investigation, where permitted by applicable law.

Such measures may include temporary suspension of Accounts, temporary disabling of Content, temporary rate limitations, or other proportionate actions.

Where appropriate and not prohibited by law or security considerations, affected users may be informed after such measures have been implemented.

32. Reporting Abuse

Users may report suspected violations of these Terms or unlawful activity through the reporting mechanisms provided by Xbio.

Submission of a report does not guarantee that Xbio will remove Content, suspend an Account, or take any particular enforcement action.

Each report may be evaluated based on the available information, applicable law, and the circumstances of the matter.

33. Intellectual Property

Unless expressly stated otherwise, the Services, including all software, source code, object code, databases, visual interfaces, page layouts, graphics, icons, logos, trademarks (excluding third-party marks), designs, documentation, APIs, text, compilations, platform architecture, features, functionality, and other materials provided by Xbio are owned by or licensed to Xbio and are protected by applicable intellectual property and other laws.

Except for the limited rights expressly granted under these Terms, no ownership, license, or other right is transferred to you.

34. Limited License

Subject to your continued compliance with these Terms, Xbio grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for their intended purpose.

This license does not permit you to:

  • copy the Services except where technically necessary;
  • modify the Services;
  • reverse engineer the Services except where non-waivable law expressly permits;
  • distribute the Services;
  • resell the Services without authorization;
  • create competing services using the Services;
  • remove proprietary notices;
  • interfere with security mechanisms;
  • or otherwise exploit the Services beyond the rights expressly granted herein.

35. Feedback

If you voluntarily submit suggestions, ideas, recommendations, feature requests, comments, enhancement proposals, bug reports, or other feedback relating to the Services ("Feedback"), you acknowledge and agree that:

  • Xbio may use such Feedback without restriction;
  • Xbio is under no obligation to implement any Feedback;
  • no compensation is owed for the use of Feedback;
  • Feedback is provided voluntarily;
  • Feedback shall not be considered confidential unless expressly agreed in writing.

Nothing in this section limits any non-waivable rights you may have under applicable law.

36. Third-Party Services

The Services may interoperate with, integrate with, or otherwise reference third-party products, services, domains, applications, platforms, payment providers, communication services, hosting providers, analytics services, domain registrars, social networks, or other technologies.

Such third-party services are governed by their own terms and privacy policies.

Xbio does not control and is not responsible for the availability, accuracy, security, content, practices, or performance of third-party services.

Your use of third-party services is solely at your own risk and subject to the applicable agreements governing those services.

37. Beta Features

From time to time, Xbio may make available experimental, preview, beta, early-access, or evaluation features ("Beta Features").

Beta Features:

  • may contain errors;
  • may change without notice;
  • may be discontinued at any time;
  • may not be fully supported;
  • may have reduced functionality;
  • may produce unexpected results.

Unless otherwise required by applicable law, Beta Features are provided "as available" for evaluation purposes.

38. Artificial Intelligence and Automated Systems

To improve the Services, enhance security, detect abuse, optimize performance, or provide new functionality, Xbio may use automated systems, machine learning technologies, or artificial intelligence tools where appropriate and in compliance with applicable law.

Such technologies may assist with, among other things:

  • spam detection;
  • fraud prevention;
  • malicious activity detection;
  • analytics;
  • service optimization;
  • customer support workflows;
  • infrastructure monitoring;
  • quality assurance;
  • feature recommendations;
  • and operational improvements.

Where applicable law requires additional transparency, consent, or safeguards, Xbio will comply with such requirements.

39. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Xbio does not warrant that the Services will:

  • meet every user's requirements;
  • operate without interruption;
  • be error-free;
  • be free from defects;
  • be continuously available;
  • be compatible with every device, browser, or operating system;
  • achieve any specific commercial, marketing, SEO, business, financial, or operational outcome;
  • prevent data loss;
  • prevent third-party misuse;
  • prevent search engine indexing or de-indexing;
  • or satisfy any particular expectation.

Nothing in this section excludes warranties that cannot lawfully be excluded under applicable law.

40. Limitation of Liability

To the maximum extent permitted by applicable law, Xbio and its directors, officers, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising out of or relating to the Services.

This includes, without limitation:

  • loss of profits;
  • loss of revenue;
  • loss of business opportunities;
  • loss of goodwill;
  • loss of data;
  • business interruption;
  • loss of reputation;
  • security incidents caused by third parties;
  • unauthorized access beyond Xbio's reasonable control;
  • service interruptions;
  • technical failures;
  • or other indirect losses.

Nothing in these Terms excludes or limits liability for matters that cannot lawfully be excluded or limited under applicable law, such as liability for fraud, willful misconduct, or death or personal injury caused by negligence where such exclusion is prohibited.

Where applicable law permits limitation of liability, Xbio's aggregate liability arising out of or relating to the Services shall not exceed the total amount paid by you to Xbio for the Services during the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred United States Dollars (USD $100), whichever is greater.

41. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Xbio, its affiliates, officers, employees, contractors, licensors, and service providers from and against claims, losses, liabilities, damages, costs, and reasonable legal expenses arising out of or relating to:

  • your violation of these Terms;
  • your unlawful use of the Services;
  • your infringement of third-party rights;
  • your User Content;
  • your breach of applicable law; or
  • your intentional misconduct or gross negligence.

This section does not require you to indemnify Xbio for losses caused solely by Xbio's own unlawful conduct or gross negligence where such exclusion is prohibited by applicable law.

42. Suspension and Termination

Xbio may suspend, restrict, or terminate access to all or part of the Services where reasonably necessary and to the extent permitted by applicable law, including where:

  • these Terms are materially violated;
  • applicable law requires such action;
  • fraud or abuse is reasonably suspected;
  • security risks arise;
  • payment obligations remain outstanding;
  • continued access may harm the Services, users, or third parties;
  • required verification is not completed within a reasonable period; or
  • the Services are used in a manner inconsistent with these Terms.

Where reasonably practicable, Xbio may provide notice before taking such action, unless immediate action is necessary for security, legal compliance, or the protection of the Services.

Users may discontinue use of the Services at any time by ceasing use and, where applicable, closing their Account.

Termination of an Account does not automatically relieve either party of obligations that arose prior to termination.

43. Effect of Termination

Upon suspension or termination:

  • your right to access the affected Services may immediately cease;
  • active subscriptions may end in accordance with these Terms and the applicable Refund Policy;
  • certain User Content may no longer be publicly accessible;
  • backups and archived copies may continue to exist for limited periods consistent with operational, legal, and security requirements;
  • provisions that by their nature are intended to survive termination shall continue in effect.
